Terms of Service
Summary
This summary is for convenience. The numbered clauses below are what bind you and us.
- Delivery Year is for businesses only. By using it you confirm you are acting for business purposes, not as a consumer.
- The data and analysis are for information only. They are not investment, legal, financial, tax or engineering advice. Much of the data comes from third parties and may be incomplete, delayed, revised or wrong. Verify anything that matters with the original source before you act on it.
- You may use the Service for your organisation's internal business purposes. You may not scrape it, resell it, or use it to build a competing product or dataset.
- Paid plans renew automatically until cancelled. Cancellation takes effect at the end of the period you have paid for.
- Your portfolio data and notes remain yours. Other than to provide the Service to you, your portfolio data may be used in anonymised and aggregated form only. Your notes are never shown to other users.
- Our liability is capped (clause 18). We are not liable for decisions you make in reliance on the Service.
- English law applies and the courts of England and Wales have exclusive jurisdiction.
1. Who we are and what these Terms cover
1.1 These Terms are between you and Delivery Year ("we", "us", "our"). You can contact us at hello@deliveryyear.com.
1.2 These Terms govern your access to and use of the Delivery Year website at deliveryyear.com, the web application, the in-app assistant, the weekly briefing, watchlist alerts and any related services we provide (together, the "Service").
1.3 You accept these Terms when you create an account, sign in, subscribe to the briefing or start a paid plan, whichever happens first. If you accept on behalf of an organisation, you confirm that you are authorised to bind it, and "you" and "Customer" mean that organisation. Otherwise, "you" means the business on whose behalf you are acting, which may be yourself as a sole trader.
1.4 If you and we sign an order form or other written agreement for the Service, it prevails over these Terms where they conflict. Otherwise these Terms, together with the documents they refer to, are the entire agreement between us about the Service.
1.5 Our Privacy Notice explains how we handle personal data. It does not form part of this contract.
2. Business customers only
2.1 The Service is supplied only to businesses. It is not offered to consumers. You confirm that you are entering into these Terms for purposes relating to your trade, business, craft or profession.
2.2 Because the Service is supplied business-to-business, consumer protection legislation (including the Consumer Rights Act 2015 and the consumer subscription provisions of the Digital Markets, Competition and Consumers Act 2024) does not apply to it. If you are a consumer, you must not use the Service.
2.3 You must be at least 18 years old to use the Service.
3. Definitions
3.1 In these Terms:
- "Authorised User" means an individual whom you permit to use the Service under your account, up to the number of seats in your Plan.
- "Customer Data" means data that you or your Authorised Users enter into or upload to the Service, including portfolios, portfolio items, notes, tags, deal stages, probabilities, scoring weights, scenarios, watchlists and saved views. It excludes Service Data.
- "Outputs" means charts, tables, scores, exports, answers from the Assistant and other material generated by the Service for you.
- "Plan" means the Free plan or a paid plan (such as Pro or Team) described on our pricing page at the time you subscribe.
- "Service Data" means all data, content and analysis made available through the Service other than Customer Data, including Third-Party Data, our compilations of it, and data, indicators, scores and commentary we derive from it.
- "Subscription Period" means the monthly or annual billing period of a paid Plan.
- "Third-Party Data" means data published by third parties that we obtain and make available through the Service, including the sources listed in the Schedule.
- "Assistant" means the in-app question-and-answer assistant.
3.2 "Including" and similar words are illustrative and do not limit the words that precede them.
4. Accounts and access
4.1 Sign-in. You sign in with a single-use link sent to your email address (a "magic link"). Anyone with access to the inbox can sign in to the account, so you are responsible for keeping that inbox secure and for all activity under your account.
4.2 One person per login. Each Authorised User must have their own login. You must not share logins or let more people use the Service than your Plan's seat limit allows.
4.3 Your Authorised Users. You are responsible for your Authorised Users' compliance with these Terms as if their acts and omissions were your own. You must remove access promptly for anyone who leaves your organisation or should no longer have access.
4.4 Accurate details. You must give us accurate account and billing details and keep them up to date.
4.5 Tell us about misuse. You must tell us promptly at hello@deliveryyear.com if you suspect unauthorised access to your account.
5. Plans, trials and private preview
5.1 Free plan. The Free plan includes the features shown on our pricing page from time to time. We may change, limit or withdraw the Free plan, or any feature of it, at any time.
5.2 Paid Plans. Paid Plans include the features, seat numbers and usage limits shown on our pricing page when you subscribe, subject to clause 15.
5.3 Trials. If we offer a free trial, it lasts for the period shown when you start it. If we ask for payment details at the start of a trial, your paid Plan starts and you will be charged when the trial ends, unless you cancel before then. During a trial, some features (such as saving Customer Data) may be unavailable.
5.4 Private preview. We may give access to an unreleased version of the Service (the "Preview"), currently controlled through Cloudflare Access, free of charge or on other terms we tell you. The Preview is provided for evaluation, may be incomplete or unstable, and may be changed or withdrawn at any time without notice. Information about the Preview that is not public is our Confidential Information under clause 16. The Preview is provided "as is", and clause 18.4 applies to it.
6. Fees, payment and tax
Paid Plans are not yet on sale. This section applies once they are.
6.1 Fees. The fees for each paid Plan are those shown on our pricing page or order form when you subscribe. Prices are as shown on our pricing page at the time you subscribe.
6.2 Payment. Fees are payable in advance for each Subscription Period. Card payments are processed by Stripe; we do not receive or store your full card details. Where we agree to invoice you, invoices are payable within 30 days of the invoice date.
6.3 Tax. Fees are exclusive of VAT and other applicable taxes, which you will pay in addition where they apply. If you are outside the UK, you are responsible for any reverse-charge VAT, withholding or similar taxes in your country.
6.4 Failed or late payment. If a payment fails or an invoice is overdue, we may (after telling you and giving you at least 7 days to pay) suspend paid features or move your account to the Free plan until payment is made. We may also charge interest on overdue amounts under the Late Payment of Commercial Debts (Interest) Act 1998.
6.5 Price changes. We may change the fees for a paid Plan by giving you at least 30 days' notice. A change takes effect from the start of your next Subscription Period after the notice period ends. If you do not agree, you may cancel before it takes effect.
6.6 No refunds. Fees are non-refundable and there are no refunds for partial Subscription Periods, except where these Terms expressly say otherwise or the law requires.
7. Renewal, upgrades and cancellation
7.1 Automatic renewal. Each paid Plan renews automatically at the end of each Subscription Period for a further period of the same length, and we will charge the payment method on file, unless you or we cancel before the renewal date.
7.2 Renewal reminder. For annual Plans, we will email you a reminder at least 30 days before renewal, stating the renewal date and price.
7.3 How to cancel. You may cancel at any time from your account settings or the Stripe billing portal, or by emailing hello@deliveryyear.com. Cancellation takes effect at the end of the current Subscription Period. You keep paid features until then, after which your account moves to the Free plan.
7.4 Upgrades and downgrades. An upgrade takes effect immediately and is charged pro rata for the rest of the current Subscription Period. A downgrade takes effect at the start of the next Subscription Period. Downgrading may reduce seats, limits or features, and Customer Data that exceeds the new Plan's limits may become read-only, and may be deleted after 90 days' notice.
8. Your licence to use the Service
8.1 Subject to these Terms and payment of any fees, we grant you a non-exclusive, non-transferable, non-sublicensable licence for the term of your Plan to access and use the Service, and to use Service Data and Outputs, for your internal business purposes.
8.2 Your internal business purposes include using insubstantial extracts of Service Data and Outputs in internal reports, investment papers and presentations, and sharing them with your professional advisers, financiers, prospective counterparties and co-investors in connection with a specific project or transaction, provided that you:
- do not make the extracts publicly available or supply them as a dataset;
- attribute them to "Delivery Year", and keep any third-party attribution shown in the Service; and
- remain responsible for how those recipients use them.
8.3 Exports (for example CSV files) are provided for the same purposes and are subject to the same limits. The size or frequency of an export does not enlarge your licence.
9. Acceptable use
9.1 You must not, and must not allow anyone else to:
- scrape, crawl, spider or use any bot or automated means to access or extract data from the Service, other than through features or interfaces we provide for that purpose;
- systematically download, copy or extract Service Data, or repeatedly extract insubstantial parts in a way that amounts to extracting a substantial part;
- sell, resell, license, rent, distribute, publish or otherwise commercially exploit the Service, Service Data or Outputs, or make them available to anyone other than your Authorised Users, except as clause 8.2 permits;
- use the Service, Service Data or Outputs to build, train, benchmark or improve a product, service, dataset or machine-learning model that competes with the Service;
- circumvent, disable or interfere with access controls, seat limits, usage limits, rate limits or security features;
- probe, scan or test the vulnerability of the Service, or introduce malware or anything that could harm it;
- copy, modify, decompile, disassemble or reverse engineer any part of the Service;
- use the Service unlawfully, to infringe anyone's rights, or to mislead anyone about the source or status of data;
- enter into the Service special category data, criminal offence data, or personal data you have no right to share with us; or
- remove or obscure any attribution, copyright or other notice.
9.2 Rights the law preserves. Nothing in these Terms excludes or restricts anything you are entitled to do, despite any contractual term, under sections 50A to 50D or 296A of the Copyright, Designs and Patents Act 1988 or regulation 19 of the Copyright and Rights in Databases Regulations 1997.
9.3 Open data. Clause 9.1 restricts your use of the Service and of the Service Data as we make it available. It does not restrict any right you have to obtain and use Third-Party Data directly from its original source under that source's own licence. See clause 10.
10. Third-Party Data and attribution
10.1 The Service uses Third-Party Data, including the sources listed in the Schedule. Third-Party Data remains subject to its publisher's rights and licence. The required attributions appear in the Schedule and, where practicable, alongside the data.
10.2 We modify, combine, clean and derive data from Third-Party Data. Unless we state otherwise, figures in the Service are our interpretation of the source, not an official statement by the publisher.
10.3 No publisher of Third-Party Data endorses Delivery Year, you, or any use of its data, and none has any liability to you through the Service.
10.4 Where Third-Party Data is published under an open licence (for example Creative Commons Attribution 4.0 International or the Open Government Licence v3.0), nothing in these Terms limits the rights that licence gives you in that data obtained from its original source. Our rights in the Service, in our compilation and selection of data, and in data and analysis we derive from it are not affected.
10.5 Third-Party Data can be incomplete, delayed, revised or withdrawn by its publisher, and publishers may change their licence terms. We may stop using any source, or change what we show, at any time.
11. The Assistant
11.1 The Assistant answers questions using only data and documentation within the Service. It does not search the internet. It uses an AI language model and can still produce answers that are wrong, incomplete or out of date, even when it cites a source.
11.2 Answers are Outputs. They are information only and not advice (see clause 14). Check the cited source before relying on an answer.
11.3 Do not enter confidential information, personal data about other people, or anything you would not want stored. Our Privacy Notice explains when questions and answers are stored and how they are used.
11.4 We may set daily or other usage limits for the Assistant by Plan.
12. Customer Data
12.1 Ownership. As between you and us, you own the Customer Data.
12.2 Our licence. You grant us a non-exclusive, worldwide, royalty-free licence to host, store, copy, process and display Customer Data to the extent needed to provide, secure and support the Service for you, and as described in clause 12.3.
12.3 Aggregated use. Other than to provide the Service to you, your portfolio data may be used in anonymised and aggregated form only, as described in our Privacy Notice. Your notes are never used for this purpose, and we do not sell your portfolio data or anything that identifies you. You can opt out at any time through the Portfolio insights setting in your account. We will not publish or disclose any aggregate that is derived from the data of fewer than 5 customers.
12.4 Notes. Your notes are never shown to other users.
12.5 Your responsibilities. You are responsible for the accuracy and lawfulness of Customer Data and for having the rights needed to enter it into the Service.
12.6 Export and deletion. You can export or delete your portfolio data at any time using the features in the Service. After your account closes, we will delete Customer Data in accordance with clause 21 and our Privacy Notice.
12.7 Backups. You are responsible for keeping your own copies of Customer Data you need. We take reasonable steps to protect it but do not guarantee against loss.
13. Intellectual property
13.1 We and our licensors own all intellectual property rights in the Service, the Service Data (other than the rights of third-party publishers in Third-Party Data) and the Outputs, including copyright and database right in our compilations, selection and arrangement of data, and in data and analysis we derive. Except for the licence in clause 8, you acquire no rights in them.
13.2 "Delivery Year" and our logos are our trade marks. You may not use them except to attribute Service Data or Outputs as clause 8.2 requires.
13.3 Feedback. If you give us suggestions, bug reports or other feedback, we may use them freely without obligation to you. Feedback does not include Customer Data.
14. Not advice; accuracy; no warranty
14.1 Not advice. The Service, Service Data and Outputs are provided for general information only. They are not investment, legal, financial, tax, regulatory or engineering advice, and are not a recommendation to buy, sell or hold any asset or interest or to enter into any transaction. We are not authorised or regulated by the Financial Conduct Authority and do not provide regulated investment advice.
14.2 Not a substitute for official information. Grid-connection, capacity, queue, Contract for Difference, policy and similar information in the Service is indicative. It is not a connection offer, a statement of available capacity, or a statement by any network operator, system operator, counterparty or authority. Confirm anything material with the relevant source and take your own professional advice before making any decision.
14.3 Accuracy. We take reasonable care in compiling the Service, but Third-Party Data may be incomplete, delayed, revised or wrong, and our processing, scoring and the Assistant may introduce errors. We do not warrant that the Service, Service Data or Outputs are accurate, complete, current or fit for any particular purpose.
14.4 Exclusion of implied terms. To the fullest extent permitted by law, all warranties, conditions and terms implied by statute, common law or otherwise are excluded, including those as to satisfactory quality, fitness for purpose and the use of reasonable care and skill, save that we will provide paid Plans with reasonable care and skill.
15. Availability, support and changes to the Service
15.1 We aim to keep the Service available but do not guarantee that it will be uninterrupted, secure or error-free. We may suspend it for maintenance, security or reasons outside our control.
15.2 Support is provided by email at hello@deliveryyear.com on a reasonable-efforts basis. For paid Plans, we aim to respond within 2 business days.
15.3 We may change the Service, including adding, changing or removing features or data sources. If we make a change that materially reduces the core functionality of your paid Plan, we will tell you and you may cancel by notice within 30 days of the change and receive a pro rata refund of prepaid fees for the unexpired part of your Subscription Period.
16. Confidentiality
16.1 "Confidential Information" means non-public information that one party discloses to the other in connection with the Service and that is marked confidential or would reasonably be regarded as confidential. Customer Data is your Confidential Information. Non-public information about the Service, including the Preview, is ours.
16.2 Each party will keep the other's Confidential Information confidential and use it only to perform or exercise its rights under these Terms. Each party may disclose it to its employees, contractors, professional advisers and service providers who need to know it and are bound by equivalent obligations, and as required by law, a court or a regulator.
16.3 This clause does not apply to information that is or becomes public other than through breach of these Terms, was already lawfully known to the recipient, is independently developed, or is lawfully received from a third party without restriction.
16.4 This clause survives termination for 3 years, and indefinitely for Customer Data.
17. Data protection
17.1 Our Privacy Notice explains how we process personal data of Authorised Users, briefing subscribers and others. We process that data as a controller.
17.2 When you give us personal data about your Authorised Users (for example their email addresses), you confirm that you have a lawful basis for doing so and that you have told them about our Privacy Notice.
17.3 The Service is not designed to store personal data within Customer Data. You must not enter personal data into Customer Data beyond what is incidental (such as a contact name in a note). If you need us to process personal data on your behalf as your processor, contact us and we will agree a data processing agreement before you do so.
18. Liability
18.1 What we do not limit. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.
18.2 Losses we exclude. Subject to clause 18.1, we are not liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any:
- loss of profits, revenue, business, contracts, anticipated savings or goodwill;
- loss arising from any investment, transaction, grid-connection application, bid, valuation, development or other decision made in reliance on the Service, Service Data or Outputs;
- loss or corruption of data (save that we will use reasonable efforts to restore Customer Data from our most recent backup); or
- indirect or consequential loss,
in each case whether or not foreseeable.
18.3 Cap. Subject to clauses 18.1 and 18.2, our total aggregate liability arising out of or in connection with these Terms and the Service in any period of 12 months is limited to the greater of (a) the fees you paid to us for the Service in the 12 months before the event giving rise to the claim and (b) £100.
18.4 Free plan, trials and Preview. Where you use the Service free of charge, including on the Free plan, a free trial or the Preview, our total aggregate liability is limited to £100, subject to clause 18.1.
18.5 Your liability. Nothing in these Terms limits your obligation to pay fees, or your liability for breach of clause 8, 9 or 13 or under clause 19.
18.6 Reasonableness. You acknowledge that the fees reflect the allocation of risk in this clause 18, that the Service is a general information service supplied to many customers, and that you are best placed to verify data and insure against the consequences of your own decisions.
19. Indemnity
19.1 You will indemnify us against all losses, damages, costs (including reasonable legal costs) and liabilities arising from any third-party claim that results from your or your Authorised Users' breach of clause 8 or 9, or from Customer Data.
20. Suspension and termination
20.1 Suspension. We may suspend all or part of your access immediately, without liability, if we reasonably believe that you or an Authorised User has breached clause 9, that your account has been compromised, that suspension is needed to protect the Service, other users or third parties, or that we are required to do so by law. Where practicable, we will tell you the reason and lift the suspension once the issue is resolved.
20.2 Termination by you. You may stop using the Free plan and close your account at any time. Cancellation of paid Plans is covered by clause 7.
20.3 Termination by us for convenience. We may terminate your Plan on at least 30 days' notice. If we do so, we will refund any prepaid fees for the unexpired part of your Subscription Period.
20.4 Termination for cause. Either party may terminate immediately by notice if the other commits a material breach that is incapable of remedy or is not remedied within 14 days of notice, or becomes insolvent, enters administration, liquidation or any arrangement with creditors, or ceases to trade.
20.5 Ceasing the Service. If we stop providing the Service altogether, we will give you at least 30 days' notice where practicable and refund prepaid fees for the unexpired part of your Subscription Period.
21. Effects of termination
21.1 On termination or expiry, your licence ends and you must stop using the Service. Service Data and Outputs you have already incorporated into internal documents under clause 8.2 may be retained for your records but not further distributed.
21.2 You may export your Customer Data until the account closes and for 30 days afterwards on request. We will then delete it from live systems within 30 days, and from backups within a further 30 days, except where the law requires us to keep it. Anonymised and aggregated data derived under clause 12.3 is not affected.
21.3 Clauses 9.1 (as to Service Data already obtained), 10, 13, 14, 16, 18, 19, 21 and 24, and any other provision intended to survive, survive termination.
22. Changes to these Terms
22.1 We may change these Terms. We will publish the new version with its effective date and, for changes that materially affect you, notify account holders by email at least 30 days before the change takes effect, except where a change is needed sooner for legal, regulatory or security reasons.
22.2 For paid Plans, a change that is materially adverse to you takes effect from your next renewal date, unless it is required sooner by law. If you do not agree to a change, you may cancel before it takes effect and, if the change takes effect during a Subscription Period, receive a pro rata refund of prepaid fees for the unexpired part.
22.3 If you continue to use the Service after a change takes effect, you accept the changed Terms.
23. Notices and communications
23.1 We may send notices to the email address associated with your account. You may send notices to us at hello@deliveryyear.com. A notice by email is treated as received when sent, unless the sender receives a delivery-failure message.
23.2 Service messages, such as sign-in links, billing emails, watchlist alerts you have set up and notices about these Terms, are part of the Service. The weekly briefing and any marketing emails are sent only as described in our Privacy Notice, and you may unsubscribe from them at any time.
24. General
24.1 Assignment and subcontracting. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign or transfer them to an affiliate or to a purchaser of all or part of our business on notice to you, and we may use subcontractors, remaining responsible for them.
24.2 Events outside our control. We are not liable for any delay or failure caused by events beyond our reasonable control, including failure of hosting, network or third-party data providers.
24.3 Entire agreement. These Terms are the entire agreement between us about the Service and supersede any earlier understanding. Each party confirms that it has not relied on any statement not set out in these Terms. Nothing in this clause limits liability for fraud.
24.4 Severance. If any provision is found invalid or unenforceable, it is modified to the minimum extent necessary to make it valid, and the rest of these Terms is unaffected.
24.5 Waiver. A failure or delay in exercising a right is not a waiver of it.
24.6 Third-party rights. No one other than you and us has any right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.
24.7 Relationship. Nothing in these Terms creates a partnership, agency or joint venture.
24.8 Governing law and jurisdiction. These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter, are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
Schedule: Data sources and attribution
Licences and attributions are as published by each source. Where a source licenses dataset by dataset, the licence shown on that dataset applies.
Delivery Year uses the following sources. We have modified, combined and derived data from them (for example by cleaning, matching and merging records, calculating headroom and scores, and classifying status). Figures in the Service are our interpretation, not the publisher's. No publisher endorses Delivery Year.
